[Neubiberg, Germany, 8 April 2025] Infineon Technologies AG is accelerating the establishment of its system capabilities in the software-defined automotive space through the acquisition of Marvell Technology's Automotive Ethernet business, which complements and extends its industry-leading microcontroller (MCU) business. Infineon and Marvell Technology (NASDAQ: MRVL) have signed a definitive transaction agreement for $2.5 billion in cash. The transaction is subject to regulatory approval. Ethernet is a key technology for enabling low-latency, high-bandwidth communications that are critical for software-defined vehicles. In addition, Ethernet has great potential in related applications such as humanoid robotics. The investment will further strengthen Infineon's presence in the US market, including extensive research and development activities.

Marvell's leading Brightlane™ Automotive Ethernet portfolio includes PHY transceivers, switches and bridges that support network data rates from today's 100 Mbps (megabits per second) to the market-leading 10 Gbps (gigabits per second), and also support the information security and functional safety required for today's and tomorrow's in-vehicle networks.

Marvell's Automotive Ethernet business has more than 50 automaker customers, including eight of the top 10 automakers. With this strong customer root base, Marvell expects to reach approximately $4 billion in design-win projects by 2030 and is relying on a strong innovation blueprint to pave the way for future revenue growth. Leveraging Infineon's deep collaboration with global automotive customers and the strong growth potential it offers, it is expected to achieve revenues of $225 million to $250 million by 2025 and gross margins of around 60 percent. Additional cost synergies are also expected to result from consolidating R&D efforts and leveraging Infineon's manufacturing scale.Marvell's Automotive Ethernet business employs hundreds of highly qualified and specialised employees and has offices in the US, Germany and Asia. Upon completion of the transaction, the business will be integrated into Infineon's Automotive Electronics Division.

Ethernet connectivity solutions are critical to the software-defined car and form the basis for an efficient electronic and electrical architecture comprising central computing, zones and terminals. Advanced features such as advanced assisted driving systems, autonomous driving, and over-the-air software updates require the ability to securely process, transmit and store massive amounts of data. By combining Marvell's Automotive Ethernet business with Infineon's AURIX™ microcontroller family, Infineon offers a more comprehensive portfolio combining communication solutions and real-time control. The acquisition will further strengthen Infineon's leading position in the microcontroller space.

The acquisition of Marvell's Automotive Ethernet business is an all-cash transaction and will be funded from Infineon's existing liquidity and new financing. Infineon has already secured acquisition financing from banks. The transaction is subject to customary closing conditions, including regulatory approvals, and is expected to close during 2025.
