AMD announced the signing of a definitive agreement to acquire ZT Systems, a leading provider of AI infrastructure dedicated to the world's top hyperscale computing companies. This strategic transaction marks the next major step in AMD's AI strategy to deliver leading-edge AI training and inference solutions based on comprehensive innovations in silicon, software and systems.ZT Systems' extensive experience in designing and optimizing cloud solutions will also help cloud and enterprise customers significantly accelerate large-scale deployments of AMD-powered AI infrastructure.

AMD has agreed to acquire ZT Systems for cash and stock valued at $4.9 billion, including contingent payments of up to $400 million based on certain milestones upon closing of the transaction.AMD expects the transaction to be accretive on a non-GAAP basis by the end of 2025.

Upon completion of the transaction, ZT Systems will join AMD's Data Center Solutions Business Unit.Frank Zhang, ZT's Chief Executive Officer, will lead the manufacturing business, and Doug Huang, ZT's President, will lead the design and customer support team, both reporting to Forrest Norrod, AMD's Executive Vice President, General Manager.AMD will seek a strategic partner AMD will seek a strategic partner to acquire ZT Systems' leading data center infrastructure manufacturing business in the United States.

The acquisition of ZT Systems is the latest in a series of investments AMD has made to significantly enhance the company's AI capabilities. Over the past 12 months, AMD has invested more than $1 billion to expand AMD's AI ecosystem and enhance the company's AI software capabilities, in addition to increasing organic R&D activities.
